1. Acceptance of Terms

By accessing or using the MomentumTrading.ai website, platform, dashboard, alerts, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and MomentumTrading.ai ("Company," "we," "our," or "us"). You represent that you have the legal authority to enter into this agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Your use of the Service is also governed by our Privacy Policy and Risk Disclosure & Disclaimer, which are incorporated into these Terms by reference.

MomentumTrading.ai provides an AI-powered market analysis platform that monitors social media, news sources, and market data to identify potential momentum setups in publicly traded securities. The Service includes, but is not limited to:

• Real-time AI-generated trading alerts with BUY and NO TRADE analytical labels
• AI-powered analysis of catalysts, volume, chart patterns, float data, and risk/reward ratios
• A web-based dashboard for viewing and managing alerts
• Trading halt monitoring and float categorization tools
• Educational content about small-cap and momentum trading

4. Eligibility

To use the Service, you must meet all of the following requirements:

• You must be at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is greater).
• You must have the legal capacity to enter into a binding contract.
• You must not be prohibited from using the Service under any applicable law, regulation, or court order.
• You must reside in a jurisdiction where the use of the Service is lawful.
• You must not have been previously suspended or removed from the Service.

By using the Service, you represent and warrant that you meet all of the above eligibility requirements. We reserve the right to verify your eligibility at any time and to refuse service to anyone for any reason.

5. Account Registration & Security

To access premium features of the Service, you must register for an account. When creating your account, you agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information to keep it accurate and complete
• Keep your login credentials confidential and not share them with any third party
• Accept responsibility for all activities that occur under your account
• Notify us immediately at [email protected] if you suspect any unauthorized use of your account

Account Sharing Prohibited: Each subscription is for a single individual user. You may not share your account credentials, grant access to your account, or allow multiple individuals to use a single account. We reserve the right to terminate accounts that we reasonably believe are being shared, and no refund will be issued for accounts terminated due to sharing violations.

We are not liable for any loss or damage arising from your failure to maintain the confidentiality of your account credentials.

6. Subscription Plans & Billing

6.1 Available Plans

The Service offers the following subscription plans (subject to change):

6.2 Payment Processing

All payments are processed securely through our third-party payment processor, Stripe, Inc. By subscribing, you authorize us (through Stripe) to charge your designated payment method for the applicable subscription fees. We do not store your credit card information on our servers.

You are responsible for providing a valid payment method and ensuring that sufficient funds are available. If a payment fails, we may suspend your access to premium features until the payment issue is resolved. We may retry failed payments up to three (3) times over a period of up to ten (10) days.

6.3 Taxes

Subscription fees are exclusive of all applicable taxes, levies, or duties imposed by taxing authorities. You are responsible for paying all such taxes associated with your subscription, except for taxes based on our net income.

7. Auto-Renewal & Cancellation

7.1 Automatic Renewal

Your subscription will automatically renew at the end of each Billing Period unless you cancel before the renewal date. Monthly subscriptions renew every month on the same date you originally subscribed. Annual subscriptions renew every 12 months on the anniversary of your original subscription date.

Upon renewal, your payment method will be automatically charged the then-current subscription fee. We will send you a reminder email at least seven (7) days before each renewal date.

7.2 How to Cancel

You may cancel your subscription at any time by:

• Logging into your account dashboard and selecting "Cancel Subscription" in your account settings
• Emailing [email protected] with the subject line "Cancel Subscription" and your registered email address

7.3 Effect of Cancellation

When you cancel your subscription, your access to premium features will continue until the end of your current paid Billing Period. After that date, your account will revert to a free tier (if available) or be deactivated. Cancellation does not entitle you to a prorated refund for the remaining portion of your current Billing Period, except as described in Section 8 (Refund Policy).

8. 30-Day Money-Back Guarantee & Refund Policy

8.1 Eligibility for Refund

You are eligible for a full refund of your first subscription payment if all of the following conditions are met:

• You submit your refund request within thirty (30) calendar days of your initial subscription purchase date.
• This is your first subscription to MomentumTrading.ai. The 30-day guarantee applies only to new subscribers and cannot be used by returning subscribers or users who have previously received a refund.
• Your account has not been terminated for violation of these Terms or the Acceptable Use Policy.

8.2 How to Request a Refund

To request a refund, you must:

• Email [email protected] with the subject line "Refund Request"
• Include your registered email address and the date of your original purchase
• Submit your request within the 30-day window described above

8.3 Refund Processing

Eligible refund requests will be processed within five to ten (5–10) business days of receiving your request. Refunds will be issued to the original payment method used for the purchase. Depending on your bank or credit card issuer, it may take an additional 5–10 business days for the refund to appear on your statement.

8.4 Non-Refundable Situations

The following situations are not eligible for a refund:

• Refund requests submitted after the 30-day window has expired
• Renewal payments (the guarantee applies only to the first Billing Period)
• Subscriptions purchased by users who have previously subscribed and/or received a refund
• Accounts terminated for violation of these Terms or the Acceptable Use Policy
• Dissatisfaction with trading results — the Service is an informational tool and does not guarantee any trading outcomes
• Partial-month or partial-year refunds for cancellations made after the 30-day guarantee period

8.5 Chargebacks

If you initiate a chargeback or payment dispute with your bank or credit card company instead of contacting us directly for a refund, we reserve the right to immediately suspend your account and contest the chargeback. Fraudulent chargebacks may result in permanent account termination and, where applicable, referral to collections or legal action. We encourage you to contact us first at [email protected] to resolve any billing concerns.

9. Price Changes

We reserve the right to modify subscription fees at any time. If we increase the price of your subscription plan, we will provide you with at least thirty (30) days' written notice (via email to your registered email address) before the new price takes effect.

The new price will apply at the start of your next Billing Period following the notice period. If you do not agree to the price change, you may cancel your subscription before the new price takes effect. Your continued use of the Service after the price change constitutes your acceptance of the new pricing.

10. Free Trials & Promotional Offers

We may, at our sole discretion, offer free trial periods or promotional pricing for the Service. The terms and duration of any free trial or promotion will be specified at the time of the offer.

Unless you cancel before the end of a free trial period, your subscription will automatically convert to a paid subscription at the then-current subscription fee, and your payment method will be charged accordingly. Free trials are limited to one per person and may require a valid payment method to activate.

We reserve the right to modify, suspend, or terminate any free trial or promotional offer at any time without prior notice. Promotional pricing cannot be combined with other offers or applied retroactively.

11. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation
• Redistribute, resell, sublicense, or share your account access or any Content from the Service without our prior written consent
• Copy, reproduce, or redistribute alerts, analysis, or other Content from the Service in any medium, including social media, chat rooms, forums, or other platforms
• Attempt to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, or underlying technology of the Service
• Use automated tools, bots, scrapers, or any other automated means to access, collect, or interact with the Service
• Interfere with, disrupt, or place an undue burden on the Service or its infrastructure
• Use the Service to manipulate markets, engage in any form of market manipulation, or facilitate "pump and dump" schemes
• Misrepresent your identity, affiliation, or the source of any content you submit
• Use the Service to provide investment advisory services, trading signals, or financial advice to third parties without proper regulatory registration
• Attempt to gain unauthorized access to other users' accounts or any part of the Service's infrastructure
• Use the Service in any manner that could damage, disable, overburden, or impair the Service

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

12. Intellectual Property Rights

All Content, features, and functionality of the Service — including but not limited to text, graphics, logos, icons, images, audio, video, algorithms, AI models, software, data compilations, and the overall design and "look and feel" of the Service — are the exclusive property of MomentumTrading.ai or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Limited License: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use. This license does not include the right to:

• Modify, adapt, or create derivative works of the Service
• Use the Service or its Content for any commercial purpose beyond your own personal trading decisions
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices
• Frame, mirror, or otherwise incorporate any part of the Service into another website or application

DMCA Compliance: We respect the intellectual property rights of others. If you believe that any Content on the Service infringes your copyright, please contact us at [email protected] with a detailed description of the alleged infringement.

13. User-Generated Content

If the Service allows you to submit, post, or transmit content (such as feedback, comments, or feature requests), you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with operating and improving the Service.

You represent and warrant that you own or have the necessary rights to submit any User Content and that such content does not violate any third party's rights or any applicable law.

14. No Investment Advice

You should not make any investment decision based solely on information provided by the Service. Always conduct your own independent research and consult with a qualified, licensed financial professional before making any investment decisions. No communication from MomentumTrading.ai should be interpreted as a personal recommendation to buy, sell, or hold any security.

15. Assumption of Risk

Trading and investing in securities — particularly small-cap and low-float stocks — involves substantial risk of loss and is not suitable for every investor. The valuation of securities may fluctuate, and as a result, you may lose more than your original investment.

By using the Service, you expressly acknowledge and agree that:

• You use the Service entirely at your own risk
• You are solely responsible for all investment and trading decisions you make
• Past performance of any signal, alert, or analysis is not indicative of future results
• You may lose some or all of your invested capital
• MomentumTrading.ai is not responsible for any trading losses you may incur
• You have read and understood the Risk Disclosure & Disclaimer in its entirety

16. AI & Algorithmic Output Disclaimer

The Service uses artificial intelligence and machine learning algorithms to generate analysis and signals. You acknowledge and agree that:

• AI-generated outputs (including BUY and NO TRADE labels, entry points, stop-loss levels, and price targets) are analytical labels and reference points only, not investment recommendations or instructions
• AI models are imperfect and can produce incorrect, misleading, or poorly timed outputs
• AI models are trained on historical data that may not accurately predict future market behavior
• There is always a delay between market events, AI processing, and alert delivery — in fast-moving stocks, this delay can be significant
• The number, frequency, and quality of AI-generated signals can vary significantly based on market conditions
• We do not guarantee the accuracy, reliability, completeness, or profitability of any AI-generated output
• You should not rely solely on AI-generated outputs for any trading decision

17. Third-Party Services & Links

The Service may contain links to third-party websites, services, or resources, including but not limited to brokerage platforms, financial data providers, and social media platforms. These links are provided for your convenience only. We do not endorse, control, or assume responsibility for the content, privacy policies, or practices of any third-party websites or services.

Your use of third-party services is governed by the terms and conditions of those services. We are not liable for any loss or damage arising from your use of or reliance on any third-party content, products, or services.

18. Privacy & Data Collection

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

We use industry-standard security measures, including 256-bit SSL encryption, to protect your data. However, no method of transmission over the Internet or method of electronic storage is 100% secure, and we cannot guarantee absolute security.

19. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE INFORMATION, ALERTS, OR ANALYSIS PROVIDED WILL BE ACCURATE, RELIABLE, COMPLETE, OR CURRENT; (C) ANY DEFECTS OR ERRORS IN THE SERVICE WILL BE CORRECTED; (D) THE SERVICE WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (E) THE USE OF THE SERVICE WILL RESULT IN ANY PARTICULAR TRADING OUTCOME OR FINANCIAL RESULT.

WE MAKE NO WARRANTY REGARDING THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE, INCLUDING DATA FROM THIRD-PARTY SOURCES SUCH AS SOCIAL MEDIA PLATFORMS, NEWS OUTLETS, AND FINANCIAL DATA PROVIDERS. AI-GENERATED ANALYSIS MAY CONTAIN ERRORS AND SHOULD NOT BE RELIED UPON AS THE SOLE BASIS FOR ANY TRADING OR INVESTMENT DECISION.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MOMENTUMTRADING.AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• LOSS OF PROFITS, REVENUE, OR ANTICIPATED SAVINGS
• LOSS OF DATA OR GOODWILL
• TRADING OR INVESTMENT LOSSES OF ANY KIND
• COST OF PROCUREMENT OF SUBSTITUTE SERVICES
• ANY MATTER BEYOND OUR REASONABLE CONTROL

REGARDLESS OF THE LEGAL THEORY (WHETHER CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

21. Indemnification

You agree to defend, indemnify, and hold harmless MomentumTrading.ai, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your use of or access to the Service
• Any trading or investment decisions you make based in whole or in part on information provided by the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your violation of any rights of a third party
• Any User Content you submit through the Service

22. Termination

22.1 Termination by You

You may terminate your account and these Terms at any time by canceling your subscription (see Section 7) and ceasing all use of the Service. Termination does not entitle you to a refund except as described in Section 8.

22.2 Termination by Us

We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms or the Acceptable Use Policy
• Non-payment of subscription fees
• Fraudulent or illegal activity
• Account sharing in violation of Section 5
• At our sole discretion, for any reason or no reason, with reasonable notice

22.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account data after a reasonable retention period. All provisions of these Terms which by their nature should survive termination shall survive, including Sections 12 (IP), 14–16 (Disclaimers), 19–21 (Warranties, Liability, Indemnification), 23–25 (Dispute Resolution, Class Action Waiver, Governing Law), and any other provisions that by their nature are intended to survive.

23. Dispute Resolution & Binding Arbitration

23.1 Informal Resolution First

Before initiating any formal dispute resolution proceeding, you agree to first attempt to resolve any dispute, claim, or controversy ("Dispute") informally by contacting us at [email protected] with a written description of the Dispute, including your name, account information, and the specific relief you seek. We will attempt to resolve the Dispute informally within sixty (60) days. If the Dispute is not resolved within this period, either party may proceed to binding arbitration as described below.

23.2 Binding Arbitration

Any Dispute that is not resolved informally shall be finally and exclusively resolved by binding arbitration. The arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, which are available at www.adr.org. If the AAA is unavailable, the parties shall agree on an alternative arbitration provider.

The arbitration shall be conducted as follows:

• Location: The arbitration shall be conducted remotely (by telephone, video conference, or written submissions) unless the arbitrator determines that an in-person hearing is necessary, in which case the hearing shall be held in a mutually agreed-upon location.
• Language: The arbitration shall be conducted in the English language.
• Arbitrator: The arbitration shall be conducted by a single arbitrator selected in accordance with the AAA rules.
• Decision: The arbitrator's decision shall be final and binding on both parties. Judgment on the arbitration award may be entered in any court having jurisdiction.
• Costs: Each party shall bear its own costs and attorneys' fees. The arbitration filing fees shall be allocated in accordance with the AAA Consumer Arbitration Rules. If you demonstrate that the costs of arbitration would be prohibitive compared to the costs of litigation, we will pay as much of the filing and hearing fees as the arbitrator deems necessary.

23.3 Exceptions to Arbitration

Notwithstanding the above, either party may: (a) bring an individual action in small claims court for disputes within the court's jurisdictional limits; or (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

23.4 Opt-Out Right

You have the right to opt out of this arbitration provision by sending written notice of your decision to opt out to [email protected] within thirty (30) days of first creating your account. Your notice must include your name, email address, and a clear statement that you wish to opt out of the arbitration provision. If you opt out, all other provisions of these Terms will continue to apply.

25. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration under Section 23 shall be brought exclusively in the federal or state courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

26. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics or pandemics, power outages, internet or telecommunications failures, cyberattacks, government actions, or exchange or market closures. During any such event, our obligations under these Terms will be suspended for the duration of the event.

27. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent. If modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

28. Entire Agreement

These Terms, together with the Privacy Policy and Risk Disclosure & Disclaimer, constitute the entire agreement between you and MomentumTrading.ai regarding the Service and supersede all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral, relating to the Service.

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

29. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect. Notice will be provided via email to your registered email address and/or a prominent notice on the Service.

What constitutes a "material" change will be determined at our sole discretion, but will generally include changes to pricing, payment terms, the arbitration provision, or the scope of the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.
